Blue Insurance Limited

Recognized as a General Counsel on the GC Powerlist Hong Kong 2025 and 2024 by The Legal 500.

Led the Legal Department to become a finalist for the “GBA In-house Team of the Year” & the “Insurance In-house Team of the Year” in ALB Hong Kong Law Award 2024.

Company Secretary: Oversee corporate governance to ensure compliance with the Companies Ordinance, Insurance Ordinance, Articles, and industry guidelines. Organize board and Committee meetings, organize and distribute board papers, and draft resolutions and minutes. Manage statutory and regulatory filings. Manage directors’ conflict of interest. Advise directors on fiduciary duties.

Litigation Management: Oversee litigation, devise legal strategies and manage case, manage external counsels and legal costs.

Contract Management: Review, negotiate, and manage business and commercial contracts, from negotiation to execution, ensuring the company's interests were safeguarded and contracts adhered to internal guidelines and applicable laws and regulations.

Legal Training: Educate management and staff on key laws and regulations.

China Data Law Leadership: Oversaw group legal and compliance matters related to the Personal Information Protection Law of China. Provided comprehensive legal advice on self-assessment, data exports, and structuring and restructuring cross-border data flows.

Cross-border Marketing Compliance: Led legal advisory for cross-border marketing activities on financial services from overseas to Mainland China, translating complex legal requirements into practical solutions.

Product Development: Principal legal advisor for launching a dividend reinvestment product in Hong Kong. Provided Hong Kong legal and regulatory advice and prepared T&Cs.

Business Support: Guided Computershare's business evolution in APAC, overseeing legal matters across four business lines (issuers’ services, plan services, corporate governance, and corporate actions).

Contract Management: Drafted, reviewed and negotiated commercial contracts across multiple business lines covering diverse issues.

Company Secretarial Services: Provided company secretarial services to multiple private Hong Kong-incorporated companies. Coordinated AGMs, EGMs, and board meetings, drafted agendas, resolutions, and minutes, and maintained Terms of Reference, ensuring compliance with the Companies Ordinance and clients’ Articles of Association.  

Governance: Ensured client compliance with the Companies Ordinance, managing statutory filings and maintaining records (e.g., directors, shareholders, significant controllers). Advised on conflict-of-interest management and director obligations, tailoring governance frameworks for diverse clients.  

Annual Reports and Disclosures: Oversaw preparation of clients’ annual reports. Coordinating with auditors for private companies.
